Terms of Service

1. Who We Are

Evermail is operated by Ludoitte Oy, a company registered in Finland (Business ID to be added upon registration). In these Terms, "we", "us", and "Evermail" refer to Ludoitte Oy. "You" refers to the individual or entity using the Service.

2. What Evermail Does

Evermail is a hosted platform for uploading, browsing, and searching legacy email archives. Supported formats include PST, OST, MBOX, EML, and Google Takeout exports. The Service provides full-text search, browser-based access, and optional AI-powered features depending on your subscription tier.

3. Acceptance of Terms

By creating an account or using the Service, you agree to these Terms and our Privacy Policy. If you are using Evermail on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

4. Accounts

You must provide accurate information when creating an account. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us immediately at support@evermail.ai if you suspect unauthorized access.

Each account belongs to a tenant (workspace). The first user in a tenant is automatically the workspace administrator and can invite additional users within the limits of their subscription tier.

5. Security Modes

Evermail offers three security modes, selectable per mailbox upload:

• Full Service — Evermail can decrypt your data during processing to provide full search and AI capabilities. All access is audited.
• Confidential Processing — Decryption is restricted to attested confidential compute environments. You may supply your own encryption key (BYOK).
• Zero-Access — Your data is encrypted with keys that only you hold. Evermail stores ciphertext only and cannot decrypt, recover, or search your data server-side.

Important: If you choose Zero-Access mode or use BYOK with offline key bundles, Ludoitte Oy has no ability to recover your encryption keys or passphrases. If you lose them, your data is permanently inaccessible. You accept full responsibility for safeguarding your key material.

6. Subscriptions and Billing

Evermail offers a free tier and paid subscription plans (Pro, Team, Enterprise). Paid plans are billed monthly or annually through Stripe. Prices are listed in euros (EUR) and may be updated with 30 days' written notice.

Subscriptions renew automatically. You can cancel at any time from your account settings. Cancellation takes effect at the end of the current billing period. We do not offer prorated refunds for partial billing periods.

If payment fails, we will attempt to collect again. If payment remains unsuccessful for 14 days, your account may be downgraded to the free tier and data exceeding free-tier limits may be scheduled for deletion after an additional 30-day grace period.

7. Data Retention

Your archives are retained for as long as your subscription is active:

• Free: Archives are available for 30 days. After 30 days of inactivity on the Free plan, archives may be scheduled for deletion.
• Paid plans (Pro, Team, Enterprise): Archives are retained for the entire duration of your active subscription.

If your subscription is cancelled, your data will be retained for 30 days after cancellation to allow you to export or reactivate. After this grace period, data is permanently deleted. You can export your data at any time before deletion.

8. Your Content

You retain all ownership rights to the email archives and content you upload to Evermail. By uploading content, you grant Ludoitte Oy a limited, non-exclusive license to process, store, and display your content solely for the purpose of providing the Service to you.

You represent that you have the legal right to upload the content you provide and that doing so does not violate any law, regulation, or third-party right.

9. Acceptable Use

You agree not to:

• Upload content that is illegal, harmful, or violates third-party rights
• Attempt to access other tenants' data or circumvent security measures
• Use the Service for spam, phishing, or distributing malware
• Reverse engineer, decompile, or disassemble any part of the Service
• Exceed documented rate limits or abuse API access
• Use the Service to store data that is not email archive content

We reserve the right to suspend or terminate accounts that violate these rules, with notice when feasible.

10. Availability and Support

We aim to keep Evermail available and reliable, but we do not guarantee uninterrupted access. Planned maintenance will be announced in advance when possible.

Enterprise-tier customers receive an SLA with a 99.9% uptime target. Team-tier customers receive a 99.5% uptime target. Free and Pro tiers are provided without uptime commitments.

11. Limitation of Liability

To the maximum extent permitted by applicable law, Ludoitte Oy shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, revenue, or business opportunities, arising from your use of or inability to use the Service.

Our total aggregate liability for any claim arising from or related to the Service shall not exceed the amount you paid to Ludoitte Oy in the twelve (12) months preceding the claim.

Nothing in these Terms limits liability for fraud, gross negligence, or any liability that cannot be excluded under Finnish law.

12. Warranty Disclaimer

The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that email parsing will produce perfectly accurate results for all archive formats or that AI-generated summaries will be error-free.

13. Termination

You may delete your account at any time through the Service or by contacting us. We will process account deletion in accordance with our Privacy Policy, including anonymization of audit logs and permanent deletion of your data.

We may suspend or terminate your account if you materially breach these Terms, after providing reasonable notice and an opportunity to cure where feasible.

14. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via email to the address on your account at least 30 days before they take effect. Continued use of the Service after changes become effective constitutes acceptance of the updated Terms.

15. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of Finland, without regard to conflict-of-law principles. Any disputes arising from these Terms or your use of the Service shall be resolved exclusively in the Helsinki District Court (Helsingin käräjäoikeus), unless mandatory consumer protection law requires otherwise.

16. Severability

If any provision of these Terms is found unenforceable, the remaining provisions continue in full force and effect.
